The purchaser and/or installer and/or user of the INSUL-DECK LLC system hereby agrees to defend, indemnify, and hold harmless, INSUL-DECK LLC, its distributors, any entity jointly created by them, their respective affiliates and their respective directors, officers, employees, and agents from and against all claims, damages, losses, and expenses, including attorneys’ fees, arising out of or associated with the installation and or use of the INSUL-DECK LLC system.

Miscellaneous

In the event that any term or condition herein is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties and the remainder of the provisions shall remain in full force and effect.

INSUL-DECK LLC’s failure to insist upon or enforce strict performance of any terms or conditions herein shall not be construed as a waiver of any provision or right. Neither the course of conduct between parties nor trade practice shall act to modify any term or condition herein.
